1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "Customer," "you," or "your") and Unlux LLC, doing business as Linqx and operating the domain linqxailab.com ("Company," "Linqx," "we," "us," or "our").
By accessing the website, engaging our custom AI engineering services, subscribing to our recurring plans, or utilizing any services provided by Linqx, you agree that you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING OUR SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
2. Scope of Services & Custom Engineering
Linqx provides custom artificial intelligence (AI) development, software engineering, automation workflows, system integration, hosting, email, and data center management services.
Custom Engineering Nature: You acknowledge that all services, software solutions, workflows, and integrations built by Linqx are bespoke, custom-engineered products tailored specifically to your specifications. Because significant labor, computing, and technical resources are allocated immediately upon agreement, all engineering fees represent compensation for work performed and specialized labor hours provided.
3. Third-Party Tools, Platforms, & AI Pricing
Responsibility for Third-Party Services: Linqx services often integrate with third-party vendors, APIs, platforms, models, hosting providers, and software (e.g., OpenAI, Anthropic, Google Cloud, AWS, Pinecone, Zapier, Make, etc.). The Client is solely responsible for creating, maintaining, and funding all third-party tool accounts required for their project.
AI Pricing & Rate Changes: Fees paid to Linqx cover custom software engineering and implementation services ONLY. Linqx has no control over, and accepts no liability for, pricing structures, API usage costs, rate limits, model deprecations, token fees, or terms of service imposed by third-party AI providers or tool vendors. Any increase in third-party API or service costs is the sole financial responsibility of the Client.
Non-Payment of Third-Party Accounts & Work Suspension: If a project or solution cannot be delivered, maintained, or completed because the Client fails to pay for or maintain active third-party accounts, tools, or subscriptions:
- Linqx shall not be held liable for any delays, failures, or operational downtime.
- All funds paid to Linqx remain non-refundable and belong entirely to Linqx.
- Billing and subscription cycles will continue uninterrupted regardless of whether active work can proceed or be delivered due to the Client's third-party payment defaults.
4. Payment Terms, Subscription Cycles, & Cancellations
Monthly Subscriptions & 30-Day Cancellation: For monthly recurring service agreements or retainers, Clients may cancel their subscription by providing a written notice of cancellation at least thirty (30) calendar days prior to the next billing date. Services and billing will remain active during the 30-day notice period.
Annual Agreements & Included Infrastructure: If the Client enters into an annual agreement or selects a package that includes annual hosting, domain services, email setup, maintenance, or data center services:
- All funds paid up front or on an annual basis belong entirely to Linqx / Unlux LLC and are non-refundable upon receipt.
- Early cancellation of annual agreements does not entitle the Client to any pro-rated or partial refunds. All commitments for the full term remain fully payable.
5. Strict No-Refund & No-Chargeback Policy
NO REFUNDS: All sales, retainers, setup fees, annual payments, and custom engineering fees are final and strictly non-refundable under any circumstances.
NO CHARGEBACKS: Due to the custom, labor-intensive nature of engineering and software development services, you explicitly agree not to initiate any credit card, bank, or payment processor chargebacks, disputes, or reversals for any fees paid to Linqx / Unlux LLC.
In the event that a chargeback or payment dispute is initiated in breach of this agreement, you acknowledge and agree that:
- You will be liable for all costs incurred by Linqx in disputing the chargeback, including legal fees, administrative overhead, and collection costs.
- Linqx reserves the right to immediately suspend or terminate all active services, hosting, code access, and API connections associated with your account.
- Unpaid balances resulting from fraudulent chargebacks will be referred to third-party collections agencies and reported to commercial credit bureaus.
6. Privacy & User Data Handling
Your privacy and data security are paramount. Our collection, use, and storage of your personal and operational data are governed by our privacy practices integrated into this agreement:
Data Ownership: You retain ownership of all proprietary data, business logic, and custom training assets provided to us ("Client Data").
Data Usage: Linqx uses Client Data strictly to build, optimize, and maintain your custom AI solutions. We do not sell, license, or monetize your Client Data to third parties.
AI Model Training: Linqx will not use your confidential Client Data to train public or foundational third-party AI models without your express written consent. However, you acknowledge that third-party tool providers (e.g., LLM APIs) operate under their own privacy and data retention policies, for which Linqx is not responsible.
Security: We implement industry-standard security measures to safeguard your information. However, no digital transmission or data storage infrastructure can be guaranteed to be 100% secure against unauthorized breaches.
7. AI Disclaimer & Non-Deterministic Output
You acknowledge that Artificial Intelligence models and machine learning technologies are non-deterministic by nature. AI systems generate output based on probabilistic algorithms and may occasionally produce inaccurate, misleading, incomplete, or unexpected results ("hallucinations").
Linqx provides custom AI integration "as is" and does not warrant or guarantee that AI outputs will be error-free or uninterrupted. The Client assumes full operational responsibility for reviewing, validating, and monitoring all AI-generated content, decisions, and automated actions before relying on them in a production or business environment.
8. Intellectual Property Rights
Upon full and final payment of all outstanding invoices, Linqx grants the Client a non-exclusive, non-transferable license (or transfer of ownership as specified in individual Statements of Work) to the custom software code deliverables created specifically for the Client.
Linqx retains full ownership of pre-existing intellectual property, internal frameworks, developer tools, reusable libraries, workflows, and core algorithms utilized in building the solutions ("Company IP").
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LINQX, UNLUX LLC, OR ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, THIRD-PARTY API OUTAGES, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) OUR SERVICES.
IN NO EVENT SHALL LINQX'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO LINQX IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
10. Governing Law & Binding Arbitration
Governing Law: These Terms and any operational agreements shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law principles.
Mandatory Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in the State of Maryland.
Arbitration shall be conducted in accordance with the commercial arbitration rules of the American Arbitration Association (AAA). The decision of the arbitrator shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. You agree to waive any right to bring or participate in class-action lawsuits or class-wide arbitration against Linqx or Unlux LLC.
11. Indemnification
You agree to defend, indemnify, and hold harmless Linqx, Unlux LLC, and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your breach of these Terms, your use of third-party tools, your data, or your violation of any third-party intellectual property or privacy rights.
12. Changes to Terms
Linqx reserves the right, at our sole discretion, to modify or replace these Terms at any time. Changes will become effective immediately upon posting to linqxailab.com. Your continued use of our services following the posting of any changes constitutes acceptance of those modified Terms.
